The Reporting Person entered into an agreement with the Issuer pursuant to which the Reporting Person forfeited the right to receive 2,197 RSUs that would otherwise have vested in exchange for a payment from the Issuer to facilitate the Reporting Person's ability to satisfy certain tax obligations related to the RSUs scheduled to vest. The RSUs, which were granted on August 14, 2025, vest on the earlier of (i) the first anniversary of the grant date and (ii) the date of the Issuer's next annual general meeting of shareholders.
