Witholding of shares for tax liability. The dollar value of Dividend Equivalent Units was transferred into the Archstone-Smith Deferred Compensation Plan. Direct total includes 8,250 Restricted Stock Units. Dividend equivalent units accrue on Restricted Stock Unit grants and vest at the same rate as the underlying grant. Upon settlement DEUs convert to shares of ASN common stock on a 1 to 1 basis, and are valued at that time. DEUs have no expiration date. This is not a voluntary option exericise, instead it is an automatic conversion of Dividend Equivalents Units into the form of vested ASN common stock. This amendment is being filed to correct an error in the number of Dividend Equivalent Units which were automatically converted into shares of ASN common stock.
