Item 1.  Description of Registrant’s Securities to be Registered

This amendment amends the Registration Statement on Form 8-A filed by the Registrant with the Securities and Exchange Commission (the "SEC") on May 13, 2003 and amended on June 6, 2007, as it relates to the Shareholder Rights Plan by and between the Registrant and Computershare Trust Company of Canada (the “Rights Agent”).

The Registrant and the Rights Agent have executed an Amended and Restated Shareholder Rights Plan Agreement dated as of April 26, 2013 (the “Rights Plan”) which was filed by the Registrant with the SEC on April 29, 2013 under cover of a Form 6-K.

A description of the Rights Plan is included under the subheading “Shareholder Rights Plan” in the Management Information Circular of the Registrant dated February 11, 2013, which was filed by the Registrant with the SEC on February 27, 2013 under cover of a Form 6-K.  Such description is hereby incorporated by reference.  The description of the Rights Plan does not purport to be complete and is qualified in its entirety by reference to the full text of the Rights Plan, which is incorporated by reference as Exhibit 4.1 hereto.
