Pursuant to the Agreement and Plan of Merger dated as of February 19, 2013 by and between SCBT Financial Corporation and First Financial Holdings, Inc. (the "Merger Agreement"), at the effective time of the merger each share of First Financial Holdings, Inc. common stock was exchanged for 0.4237 shares of SCBT Financial Corporation common stock, with cash paid in lieu of fractional shares. Options vest proportionately over a three year period beginning December 18, 2009.
