(d) On June 1, 2020, the Board of Directors of AXIS Capital Holdings Limited (the “Company”), upon the recommendation of its Corporate Governance and Nominating Committee, appointed W. Marston Becker as a member of the Company’s Board of Directors and its Executive, Finance and Risk Committees effective June 1, 2020. Mr. Becker joins the Board as a Class II director. He will receive the respective pro-rated annual retainers for service on the Company’s Board and its Finance and Risk Committees in accordance with the Company’s Directors Compensation Program. Mr. Becker is not party to any transaction that is required to be reported pursuant to Item 404(a) of Regulation S-K.
