ITEM 8.01. OTHER EVENTS.

Quarterly Preferred Stock Dividend.

At the meeting of the Board of Directors (the “Board”) of Western Alliance Bancorporation held on April 25, 2022, the Board declared a quarterly cash dividend of $0.35 per share of common stock. The dividend will be payable May 27, 2022 to shareholders of record as of May 13, 2022.

The Company's Board of Directors also declared a quarterly cash dividend of $106.25 per share (equivalent to $0.265625 per depositary share) on its 4.250% Fixed Rate Reset Non-Cumulative Perpetual Preferred Stock, Series A. The dividend will be payable June 30, 2022 to shareholders of record as of June 15, 2022.
