The right to purchase the remaining 150,000 shares of common stock vested on the attainment of certain performance milestones, as follows: (i) the right to purchase 50,000 shares would vest if the Company earned at least $2,000,000 in revenues in any quarter; (ii) the right to purchase 50,000 shares would vest if the Company earned at least $5,000,000 in revenues during the fiscal year; and (iii) the right to purchase 50,000 shares would vest if Mr. Giarmo successfully produced no less than two major music concerts during the 2004 fiscal year. Due to the fact that certain performance objectives were not met during the 2004 fiscal year, Mr. Giarmo lost the right to purchase 100,000 shares of common stock pursuant to the terms of the option granted to him on June 18, 2004.
