Ms. Gill acquired 161,000,000 on January 6, 2006 from the company at USD 0.0037 per share. These shares were issued for consideration received by the company as an intangible property. The reporting issuer filed a news release on the OTCBB (Nasdaq) on January 10, 2006 with respect to the issuance. Subsequent to the issuance of these shares, Ms. Gill’s control position changed to 78%.
