The Reporting Person was granted a total of 35,000 shares under the Plan, of which 7,000 shares vested on January 15, 2001 and the balance shall vest at the rate of 7,000 shares per year on January 15th of each succeeding four years. As of January 20, 2004, certificates for a total of 28,000 shares had been issued to the Reporting Person. The Reporting Person was issued options to purchase 50,000 shares of the Issuer's common stock in consideration for serving as a director of the Issuer.
