This option, which vests in three (3) equal annual installments beginning 4/24/2004, was assumed, pursuant to the Agreement and Plan of Merger, dated March 21, 2005, among the Issuer, Eagle DE, Inc. and Entegris, Inc., by Eagle DE, Inc. and was replaced with an option to purchase 13,900 shares of common stock of Eagle, DE, Inc. for a price of $5.66; pursuant to the merger Eagle DE, Inc. changed its name to Entegris, Inc. This option, which vests in three (3) equal annual installments beginning 4/28/2005, was assumed, pursuant to the Agreement and Plan of Merger, dated March 21, 2005, among the Issuer, Eagle DE, Inc. and Entegris, Inc., by Eagle DE, Inc. and was replaced with an option to purchase 13,900 shares of common stock of Eagle, DE, Inc. for a price of $10.68; pursuant to the merger Eagle DE, Inc. changed its name to Entegris, Inc. This option, which vests in three (3) equal annual installments beginning 4/26/2003, was assumed, pursuant to the Agreement and Plan of Merger, dated March 21, 2005, among the Issuer, Eagle DE, Inc. and Entegris, Inc., by Eagle DE, Inc. and was replaced with an option to purchase 6,950 shares of common stock of Eagle, DE, Inc. for a price of $10.91 pursuant to the merger Eagle DE, Inc. changed its name to Entegris, Inc. This option, which vests in three (3) equal annual installments beginning 8/9/2002, was assumed, pursuant to the Agreement and Plan of Merger, dated March 21, 2005, among the Issuer, Eagle DE, Inc. and Entegris, Inc., by Eagle DE, Inc. and was replaced with an option to purchase 13,900 shares of common stock of Eagle, DE, Inc. for a price of $10.79 pursuant to the merger Eagle DE, Inc. changed its name to Entegris, Inc. Disposed of pursuant to Agreement and Plan of Merger, dated March 21, 2005, by and among Issuer, Eagle DE, Inc. and Entegris, Inc. in exchange for 695 shares of Eagle DE, Inc. common stock; pursuant to the merger Eagle DE, Inc. changed its name to Entegris, Inc.
