Explanation of Responses:
1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $36.35 to $36.50, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnote (1) to this Form 4.
2. The amount of securities beneficially owned represents shares held by General Atlantic Partners Tango, L.P. ("GA Tango"). The general partner of GA Tango is GAP (Bermuda) Limited ("GAP (Bermuda) Limited"). The limited partners of GA Tango are the following General Atlantic investment funds: General Atlantic Partners (Bermuda) II, L.P. ("GAP Bermuda II"), GAP Coinvestments III, LLC ("GAPCO III"), GAP Coinvestments IV, LLC ("GAPCO IV"), GAP Coinvestments CDA, L.P. ("GAPCO CDA") and GAPCO GmbH & Co. KG ("GAPCO KG"). The general partner of GAP Bermuda II is General Atlantic GenPar (Bermuda), L.P. ("GenPar Bermuda") and the general partner of GenPar Bermuda is GAP (Bermuda) Limited. General Atlantic LLC ("GA LLC") is the managing member of GAPCO III and GAPCO IV and the general partner of GAPCO CDA. GAPCO Management GmbH ("Management GmbH") is the general partner of GAPCO KG.
3. The Managing Directors of GA LLC are also the directors and voting shareholders of GAP (Bermuda) Limited. The Managing Directors of GA LLC make voting and investment decisions with respect to securities held by GAPCO KG and Management GmbH. Mr. Ford is the Chief Executive Officer and a Managing Director of GA LLC. He disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein.
As a foreign private issuer, IHS Markit securities are currently exempt from Section 16 pursuant to Rule 3a12-3(b) of the Exchange Act. As such, this is an informational and voluntary report which shall not be deemed an admission that, as of the date hereof, the filing person is required to report changes in beneficial ownership of IHS Markit securities registered under Section 12 of the Exchange Act.
