ITEM 5.02   DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS, ELECTION OF DIRECTORS, APPOINTMENT OF PRINCIPAL OFFICER

Resignation of Directors and Officers:

On August 13, 2009, Hon. Pierre H. Vincent, a Director of Anticus International Corporation (the “Company”), informed the Board of Directors of the Company that he was resigning from the Board of Directors of the Company effective immediately due to other commitments which would impact on his ability to spend time on Company matters.  Mr. Vincent did not resign as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
