The Reporting Person's consulting agreement provides for a success fee payable by Trinity Investments to the Reporting Person in connection with the issuer's business combination completed November 14, 2019, pursuant to which the Reporting Person is entitled to receive 137,305 shares of Common Stock and 259 Warrants, which as of November 14, 2019 were held by HN Investors LLC and expected to be transferred to Trinity Investments.
