Each DSU is the economic equivalent of one share of Company common stock. The DSUs become payable upon the reporting person's termination of service as a Director. Dividend equivalent rights accrue with respect to these DSUs when and as dividends are paid on MGM Resorts International's common stock and become payable upon the reporting person's termination of service as a Director. Restricted Stock Units ("RSUs") granted under the MGM Resorts International (the "Company") Amended and Restated 2005 Omnibus Incentive Plan. On March 30, 2020, the Reporting Person voluntarily reduced 100% of his cash compensation for the remainder of 2020 in exchange for a grant of an equivalent value of RSUs. Such RSUs will vest in full on December 31, 2020. Should the Reporting Person cease serving on the Company's board of directors for any reason prior to December 31, 2020, the RSUs shall vest on a pro-rata basis. Dividend equivalent rights accrue with respect to these RSUs when and as dividends are paid on MGM Resorts International's common stock and vest on the same dates and in the same relative proportions as the RSUs on which they accrue. Restricted Stock Units ("RSUs") granted under the MGM Resorts International ("Company") Amended and Restated 2005 Omnibus Incentive Plan (the "Plan"). Each RSU represents the right to receive, following vesting, one share of Company common stock. Any fractional shares are paid in cash upon settlement. The RSUs will vest upon the earlier of (i) May 7, 2021 or (ii) the date of the Company's next annual meeting of stockholders, in each case subject to the terms of the Plan and applicable award agreement. Due to a clerical error, the Form 4 filed on May 8, 2020 incorrectly stated that 10,040 RSUs had been granted to the Reporting Person. The actual number of RSUs granted was 10,047.
