These stock options were cancelled pursuant to the Merger in exchange for a cash payment equal to the difference (if any) between the exercise price of the stock options and $33.25 multiplied by the number of shares subject to such stock options less any applicable withholding taxes. The options were scheduled to vest in three equal increments on 7/30/11, 7/30/12 and 7/30/13 but vesting was accelerated due to the Merger. These stock options were cancelled pursuant to the Merger in exchange for a cash payment equal to the difference (if any) between the exercise price of the stock options and $33.25 multiplied by the number of shares subject to such stock options less any applicable withholding taxes.
