Explanation of Responses:

(1) Phantom stock units are issued to non-employee directors in payment for their annual Board and Committee chair retainers payable upon reporting persons' retirement.

(2) 1027 phantom stock units acquired in payment for annual chair retainer and 453 phantom stock units accrued during the fiscal year pursuant to the NUI Stock Option, Stock Award and Incentive Plan,  at prices ranging from $20.82 - $25.205.
