On November 11, 2019, Daniel J. Kaufman resigned as a member of the Board of Directors (“Board”) of Five Below, Inc. (the “Company”) and the committees of the Board on which he served due to the required significant commitment to his primary work responsibilities. The resignation was not a result of any disagreement with the Company. The Company expressed its gratitude to Mr. Kaufman for his years of service as a member of the Board.
