Item 1.02 Termination of a Material Definitive Agreement

On March 28, 2008, Center Financial Corporation received a notice from First Intercontinental Bank terminating the definitive agreement jointly announced by the two parties on September 18, 2007 under which Center Financial was to have acquired First Intercontinental. In the termination notice, First Intercontinental alleges breaches on the part of Center Financial and is demanding liquidated damages of $3.1 million. Center Financial said it believes that First Intercontinental breached the agreement and is entitled to no damages of any kind.
