Tan Range Chairman Proceeds with Sixteenth Tranche of Private Placement


Tan Range Exploration Corporation advises that Mr. James E. Sinclair is proceeding with the sixteenth tranche of the private placement announced on March 7, 2003 whereby Mr. Sinclair agreed to purchase common shares of the Corporation over a two-year period representing a value between $1,500,000.00 and $3,000,000.00.  Such shares are to be purchased in 24 separate tranches, each tranche having a minimum subscription price of $62,500.00 and, at the sole option of the purchaser, each tranche may be increased to a maximum of $125,000.00.


The sixteenth tranche consists of 110,035 common shares of the Corporation having a purchase price of $1.136 per share for proceeds totaling $125,000.00.  The purchase price reflects the weighted average trading price of the Corporation’s shares for the five consecutive trading days ended May 31, 2004.


The private placement common shares are subject to certain mandated hold periods and resale restrictions and the certificates representing such shares are legended accordingly.  No warrants, options or other rights have been issued or granted in connection with this placement.


Each tranche is subject to approval by the Toronto Stock Exchange.
