ITEM 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 29, 2010, James Juliano was appointed to our Board of Directors by Equity 11, Ltd. (“Equity 11”) and JB Smith was removed from our Board by Equity 11.  Mr. Juliano has been a shareholder in Equity 11 since 2008 and currently is the sole director and president of Equity 11.  Pursuant to our Convertible Preferred Securities Agreement with Equity 11, Equity 11 has the right to appoint up to three of our directors so long as it continues to hold our convertible preferred shares.  

One June 29, 2010, Rocco DelMonaco resigned his position as a member of our Board of Directors citing the time constraints of his current job.
