(d)     Effective July 16, 2008, David W. Morgan, the Company’s Vice President, Chief Financial Officer and Treasurer, was elected as a director of the Company. The election of Mr. Morgan as a director will fill the vacancy in the Company’s Board due to the resignation of Mr. Donald C. Campion on July 13, 2008, which was reported in our Form 8-K filed with the Securities and Exchange Commission on July 17, 2008.
