Explanation of Responses:

1. This report amends the report filed on August 18, 2005, which incorrectly reported this transaction as an open market or private purchase of the issuer's Common Stock. This transaction was an acquisition of shares of the issuer's Common Stock pursuant to the exercise of a stock option by the reporting person. This amended report also corrects information in the prior report as to the amount of securities beneficially owned by the reporting person following the transaction and reflects the reporting person's appointment as the issuer's Chairman of the Board and Chief Executive Officer on August 10, 2005.
