This registration statement covers the common stock issuable upon grants of stock or upon the exercise of options granted pursuant to Ireland Inc.’s (the “Company”) 2007 Stock Incentive Plan to directors, officers, employees and eligible consultants of the Company. This registration statement also covers an indeterminable number of additional shares of common stock which may become issuable under the 2007 Stock Incentive Plan by reason of any stock dividend, stock split, re-capitalization or any other similar transaction which may be effected without the receipt of consideration which results in an increase in the number of the registrant’s outstanding shares of common stock.

The Proposed Maximum Offering Price Per Share is estimated pursuant to Rule 457 of the Securities Act of 1933 (the “Securities Act”) based upon the average of the closing bid price of $0.26 and closing ask price of $0.45 per share for the Company’s common stock as quoted on the Over-The-Counter Bulletin Board on January 10, 2011. The Proposed Maximum Aggregate Offering Price is estimated based on the Proposed Maximum Offering Price Per Share multiplied by the total number of shares of common stock to be registered. These amounts are calculated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457 of the Securities Act.

Liabilities of Directors and Officers

Subsection 78.158(7) of the Nevada Revised Statutes (the "NRS") provides that, unless the Company's articles of incorporation provide for greater individual liability, a director or officer is not liable to the Company or the Company's stockholders or creditors for any damages arising as a result of any act or failure to act in his or her capacity as a director or officer unless it is proven that:

  (1)

the director or officer's act or failure to act constituted a breach of his fiduciary duties as a director or officer; and

     
  (2)

the director or officer's breach of these duties involved intentional misconduct, fraud or a knowing violation of the law.

The Company's articles of incorporation do not contain any provision for greater liability for the Company's directors and officers.

Indemnification of Directors and Officers

Our directors and officers are indemnified by our bylaws to the fullest extent not prohibited by Nevada law, provided, however, that we may modify the extent of such indemnification by individual contracts with our directors and officers, and we are not required to indemnify a director or officer in connection with a proceeding initiated by such person unless (1) required by law, (2) the proceeding was authorized by our board of directors, (3) the indemnification is provided by us in our sole discretion pursuant to the powers vested in us by Nevada law, or (4) such indemnification is required to be given pursuant a court order. Our bylaws further provide that we may advance funds to an indemnified officer or director to assist with his or her defense, except where a determination is made by a quorum of disinterested directors or independent legal counsel that the indemnified person acted in bad faith or in a manner that such person did not believe to be in or not opposed to our best interests.
