State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The Registrant is unable, without unreasonable effort and expense, to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2004 on a timely basis because, after consultation with its independent registered public accounting firm, the Registrant requires additional time to evaluate its accounting for  goodwill and intangibles.  The Registrant’s Annual Report on Form 10-K was due to be filed with the SEC on March 31, 2005, and the Registrant intends to file the Annual Report on Form 10-K with the SEC on or before April 15, 2005.

 

The Registrant’s management has made a preliminary determination that its accounting for goodwill and intangibles related to its  majority interest in Urethane Soy Systems Company  may not be supportable under generally accepted accounting principles.

Explanation of Anticipated Change In Results of Operations

 

As described in Part III above, the Registrant is evaluating its accounting for goodwill and intangibles  but has not completed its review of the  issues described in Part III or the related potential adjustments or reclassifications, if any, to its financial statements. The Registrant’s preliminary estimate of net income for 2004 is approximately $600,000, compared to approximately $3.4 million reported for 2003.
