        This Registration Statement relates to the registration with the Securities and Exchange Commission of Class A Capital Units of South Dakota Soybean Processors, LLC, a South Dakota limited liability company (the "Registrant"). The description of the Capital Units to be registered hereunder is set forth under the caption "Description of Capital Units" at page 66 of the Information Statement—Prospectus dated May 24, 2002, which was contained in the Registrant's Registration Statement on Form S-4 (SEC. No. 333-75804), filed with the Securities and Exchange Commission on May 24, 2002 pursuant to Rule 424(b)(3) and is incorporated herein by reference.
