The reported transaction relates to the sale of the subject securities by CCM SPV II, LLC, a private investment vehicle managed by Coghill Capital Management, L.L.C., and which received the subject securities in connection with certain in-kind redemptions by investors from CCM Master Qualified Fund, Ltd. On July 11, 2012, the Issuer effected a 1-for-5 reverse stock split of its issued and outstanding common stock, $0.001 par value per share ("Reverse Stock Split"). As a result of the Reverse Stock Split, every five shares of the Issuer's issued and outstanding common stock was automatically combined and converted into one issued and outstanding share of common stock, par value $0.001 per share.
