the Company paid

respectively, to a former board member Mr. Dave Gollnick for product development, clinical sales and marketing support services. In addition, as of

December 31, 2016,

the Company granted Mr. Gollnick

RSUs with a grant-date fair value of

that vest over

years at the rate of

33.33%

per year on each of the

three

anniversaries from the vesting commencement date of

October 28, 2016,

subject to him continuing to provide consulting and/ or board services to the Company. The Company’s Audit Committee approved the extension of Mr. Gollnick’s consulting agreement through

December 31, 2018

at the rate of

per hour for a maximum of

40

hours per week.

The Company signed an agreement with a real estate firm,

Advisors, effective

September 2017,

to assist the Company in real estate related issues (including strategic planning and search for new facilities). One of

Advisors’ Senior Vice President "Mr. Austin Barrett" is related to Greg Barrett – a member of the Company’s board of directors. In
