The securities are owned by the David Marshall Profit Sharing Plan, of which the reporting person is the sole trustee and beneficiary. Principal, fees and accrued interest are convertible into common stock. The amount reported represents the amount of principal and fees only. If the note is converted prior to March 31, 2011, the reporting person will also receive one warrant for each share of common stock issued upon such conversion. Each such warrant will be exercisable for one share of common stock at $0.01 per share for a period of seven years from the date of issue.
