Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 27, 2018, Five Star Senior Living Inc., or the Company, entered into a letter agreement with Mr. R. Scott Herzig, the Company’s former Senior Vice President of Senior Living Operations, regarding the terms and conditions of the termination of his employment. The Company previously reported the termination of Mr. Herzig’s employment in the Company’s Current Report on Form 8-K dated December 11, 2018.  Pursuant to the letter agreement, among other things, Mr. Herzig will receive a cash payment from the Company of $510,000 in January 2019, subject to conditions.  The letter agreement also contains standard restrictive covenants relating to non-competition, confidentiality and non-solicitation of employees.
