Press Release

On June 27, 2019, WageWorks, Inc., a Delaware corporation (the “Company” or “WageWorks”), and HealthEquity, Inc., a Delaware corporation (“HealthEquity”), issued a joint press release announcing they had entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Pacific Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of HealthEquity (“Merger Sub”), pursuant to which HealthEquity will acquire WageWorks through the merger of Merger Sub with and into WageWorks, with WageWorks surviving the merger and becoming a wholly owned subsidiary of HealthEquity.

A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
