Retirement of James C. Dodd

On April 18, 2008, nCoat, Inc. (the “Company”), received notice from James C. Dodd that he had retired as the Chief Financial Officer of the Company, effective April 18, 2008.  Mr. Dodd has agreed, however, to assist the Company in the preparation of its Annual Report for the year ended December 31, 2007.

As of the date of this Report, the Company had not appointed a replacement for Mr. Dodd, although the Company had commenced a search for a new Chief Financial Officer.
