Item 8.01 Other Events.

Reference is made to the press release of W. R. Berkley Corporation (the “Company”) relating to the announcement by the Company that it has agreed to sell a wholly owned investment, Aero Precision Industries, and certain related aviation services businesses. The Company expects to realize a pre-tax gain of approximately $130 million on the sale, which is expected to close in the third quarter of 2016. The closing of the transaction is subject to customary conditions.

W. R. BERKLEY CORPORATION ANNOUNCES SALE OF WHOLLY-OWNED INVESTMENT

Greenwich, CT, July 18, 2016 -- W. R. Berkley Corporation (NYSE: WRB) today announced an agreement to sell a wholly-owned investment, Aero Precision Industries, and certain related aviation services businesses. The Company expects to realize a pre-tax gain of approximately $130 million on the sale, which is expected to close in the third quarter of 2016. The closing of the transaction is subject to customary conditions.
