The three funds are the actual owners of the Common Stock of the Issuer.  One of these funds, Prism Offshore Fund, Ltd., made a pro rata distribution for no consideration of an aggregate amount of 901,586 shares of Common Stock of the Issuer to it members as of December 20, 2017.</footnote>
