Inverness Medical Innovations Announces Proposed

Private Placement of Senior Subordinated Notes

Thursday, January 22, 2004

 

Waltham, Massachusetts—Inverness Medical Innovations, Inc. (AMEX: IMA) announced today that it may seek to raise up to $150 million of gross proceeds through a private placement of senior subordinated notes, subject to market and other conditions.

 

Inverness intends to use the net proceeds of this issuance to repay a portion of its outstanding indebtedness and for general corporate purposes.

 

The private placement, which is expected to commence immediately, will be to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States in compliance with Regulation S under the Securities Act. The notes are not being registered under the Securities Act. Unless so registered, the notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
