ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

On November 28, 2006, Joseph S. Colson, Jr., a founding member of the board of directors of Crescent Financial Corporation (the “Registrant”) and its wholly-owned subsidiary, Crescent State Bank, announced his retirement from the boards of directors of the Registrant and Crescent State Bank. Since the founding of Crescent State Bank, Mr. Colson has been a tremendous resource for the Registrant’s board of directors and has loyally served the shareholders of the Registrant and the communities in which the Registrant operates.
