Each Unit was purchased at a price of $30,000 and consists of (i) one 2.5% two-year Debenture ("Debenture"), convertible into 25,000 shares of the Company's common stock (the "Common Stock") at a rate of $1.20 per share; and (ii) one three-year Common Stock Warrant to purchase 12,500 shares of Common Stock at an excercise price of $2.00 per share (the "Warrants"). Wellington Hedge Management, LLC ("WHML"), is the general partner of J. Caird Partners.
