Explanation of Responses:

1. On July 10, 2007, GLG Partners LP, an English limited partnership, and the GLG Global Utilities Fund filed a statement of change in beneficial ownership on Form 4 (the "Original Form 4") that reported two purchases of shares of common stock of the issuer. This amendment to the Original Form 4 is filed to correct the transaction dates, as well as to correct the total number of securities of the issuer beneficially owned by the reporting owners following the reported transactions.

2. This amendment to the Original Form 4 also adds GLG Partners Limited, an English company, Noam Gottesman, Pierre Lagrange and Emmanuel Roman as reporting owners.
