Item 5.02. Departure of Directors or Principal Officer; Election of Directors; Appointment of Principal Officers.

On May 31, 2007, John R. Coghlan submitted his resignation as a member of the Board of Directors and as Chairman of the Audit Committee. Mr. Coghlan indicated that he did not have any disagreements with management and his resignation was tendered for personal and health reasons.

As a result of Mr. Coghlan’s resignation as Chairman of the audit Committee, the audit Committee functions will be assumed by the full Board of Directors until a replacement Chairman can be appointed. The Company will immediately begin a search for a replacement director.
