State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Ontrak, Inc. (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2025 (“Form 10-Q”) within the prescribed time period without undue hardship and expense to the Company. As previously disclosed, the Board of Directors of the Company made the decision to cease all operations and terminate the employment of all employees on July 31, 2025. Consequently, the Company does not have sufficient resources to file the Form 10-Q, and at this time cannot provide an expected filing date.
