Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Principal Officers

On December 21, 2009, Maurice Hebert, Chief Financial Officer of Hythiam, Inc. (the "Company"), resigned from the Company, effective January 15, 2010, and is relocating to Florida where he has accepted a senior level finance position with a large, publicly traded managed health care company. The Company recognizes the opportunity that this affords Mr. Hebert and thanks him for his service.

Mr. Hebert’s resignation letter is attached to this report as Exhibit 10.1.
