Following the sale, Mr. Lively held 369,526 Holding Units and 369,526 shares of Class B common stock of the Company, as well as 54,671 shares of Class A common stock. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $79.46 to $80.01, inclusive. (the "Company") for 51,533 shares of Class A common stock of the Company, and substantially simultaneously sold all 51,533 shares of Class A common stock of the Company on the open market. Following the sale, Mr. Lively held 317,993 Holding Units and 317,993 shares of Class B common stock of the Company, as well as 54,671 shares of Class A common stock. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $79.97 to $80.97, inclusive.
