Please find below the Executive Summary for the 2nd Quarter 2015.

Net Income and Recurring Net Income

Our recurring net income totaled R$6,134 million in the second quarter of 2015 as a result of the elimination of non-recurring events, which are presented in the table below, from net income of R$5,984 million for the period.

Non-Recurring Events

(a) Impairment: Adjustment in the carrying amount of assets in order to reflect its fair value.

(b) Provision for Contingencies: Recognition of provisions for tax and social security lawsuits and losses arising from economic plans that were in eect in Brazil during the 1980’s.

(c) Goodwill Amortization: Eect of the goodwill amortization generated by Conglomerate acquisitions.

(d) Program for the Settlement or Installment Payment of Taxes: Eects of our adherence to the Program for the Settlement or Installment Payment of Federal and Municipal Taxes.

(e) Porto Seguro: Eect of the favorable decision, by the Federal Supreme Court (STF), on the legality of the COFINS tax on this type of operation in proportion to our equity in the company, in addition to the provision for losses on tax losses in the first quarter of 2014.

(f) IRB: In 2014, eect of the favorable decision on the increase of the PIS/COFINS calculation basis of IRB Brasil Resseguros S.A.

Managerial Income Statement

We apply consolidation criteria for the managerial results that aect only the breakdown of accounts and, therefore, do not aect net income. These eects are shown in the table on the following page (“Reconciliation between Accounting and Managerial Statements”). Additionally, we adjusted the tax eects of the hedges of investments abroad - which were originally accounted for as tax expenses (PIS and COFINS) and income tax and social contribution on net income and were reclassified to the financial margin - and the non-recurring events.

Our strategy for the foreign exchange risk management of the capital invested abroad is aimed at mitigating, through financial instruments, the eects resulting from foreign exchange variations and takes into consideration the impact of all tax eects. In the second quarter of 2015, the Brazilian real appreciated 3.3% against the U.S. dollar and depreciated 0.4% against the Euro, compared with depreciations of 20.8% and 6.8%, respectively, in the previous quarter.

 
 
 
 
 
Merger of Banco Itaú Chile and Corpbanca
 
 
In line with our Latin America expansion strategy, and with a vision to create value and sustainable performance, in June 2015, the merger of Banco Itaú Chile and CorpBanca was approved by shareholders’ meetings of both institutions.
 
The conclusion of this operation is subject to the authorization of the proper regulator in Chile, the Superintendency of Banks and Financial Institutions (SBIF).

Executive Summary

Net Income
The recurring net income for the second quarter of 2015 amounted to R$6,134 million, representing increases of 5.6% when compared to the previous quarter and 23.4% from the same period of the previous year.

The increase in net income for the second quarter of 2015, when compared to the previous quarter, reflects the 4.1% growth in financial margin with clients and 3.8% growth in insurance, pension plan and premium bonds operations, in addition to lower result from loan and lease losses. These increases were partially oset by 16.5% decrease in our financial margin with market and by 1.0% increase in non-interest expenses.

In the first half of 2015, recurring net income was R$11,942 million, 25.7% higher when compared to the same period of 2014. The net income growth was mainly due to an increase of 17.5% in operating revenues, partially oset by increases of 6.7% in non-interest expenses and of 26.6% in expenses for allowance for loan losses.

Return on Average Equity

Annualized recurring return on average equity reached 24.8% in the second quarter of 2015. Stockholders’ equity exceeded R$100 billion, with increases of 3.9% when compared to the previous quarter and of 17.1% from the same period of the previous year.

In the second quarter of 2015, the annualized recurring return on average assets reached 1.9%, unchanged when compared to the previous quarter. Annualized recurring return on risk-weighted assets reached 3.2%, up 20 basis points from the previous quarter.

Operating Revenues

In the second quarter of 2015, operating revenues, representing revenues from banking, insurance, pension plan and premium bonds operations, totaled R$25,339 million, 1.6% and 14.6% higher than the previous quarter and the same period of the previous year, respectively. The main components of operating revenues and other items of income statement are presented below.
 

Managerial Financial Margin

Managerial financial margin for the second quarter of 2015 totaled R$16,235 million, R$272 million higher when compared to the first quarter of 2015, mainly due to the increase in our financial margin with clients by R$581 million, partially offset by financial margin with the market, lower by R$309 million.

 
 
Our managerial financial margin increased by R$6,117 million when compared to the first half of 2014. This growth is due to the increases of R$4,179 million in the financial margin with clients and of R$1,938 million in the financial margin with market.

Managerial Financial Margin of Credit, net of Result from Loan and Lease Losses

Our financial margin of credit, net of result from loan and lease losses, increased 1.1% from the second quarter of 2014 and 6.5% when compared to the first quarter of 2015. The ratio of result from loan and lease losses to the financial margin of credit reached 36.0% this quarter, 180 basis points lower when compared to the previous quarter.

Executive Summary

Result from Loan and Lease Losses
 
The result from loan and lease losses decreased 1.5% when compared to the previous quarter, totaling R$4,387 million in the quarter. This decrease is mainly due to 6.9% (R$73 million) higher revenues from recovery of loans written off as losses which are seasonally lower in the first quarter.

In the first half of 2015, result from loan and lease losses reached R$8,842 million, up 38.3% when compared to the same period of the previous year, mainly due to higher provisions for economic groups in the corporate segment.

Banking Services Fees and Income from Banking Charges

Banking service fees, including income from banking charges, increased R$40 million (0.6%) when compared to the previous quarter, totaling R$6,906 million. When compared to the first half of 2014, these revenues increased R$1,378 million (11.1%).
 
Result from Insurance, Pension Plan and Premium Bonds


In the second quarter of 2015, result from insurance, pension plan and premium bonds from core activities, which consist of mass-market products related to life, property, credit, pension and premium bonds reached R$1,446 million, an increase of R$48 million from the previous quarter and of R$199 million from the second quarter of 2014. The Loss ratio from core activities reached 26.5% this quarter.
 
Non-Interest Expenses

Non-interest expenses increased 1.0% in the second quarter of 2015 when compared to the first quarter of 2015. Personnel expenses decreased R$165 million, whereas administrative expenses increased R$338 million from the previous quarter, mainly due to higher expenses with data processing and telecommunications, facilities, advertising, promotions and publications.

When compared to the first half of 2014, non-interest expenses increased R$1,244 million (6.7%), less than the cumulative inflation rate in the last 12 months (8.9%).
 
Efficiency Ratio and Risk-Adjusted Efficiency Ratio (*)
 
 
In the second quarter of 2015, efficiency ratio, in the criteria that includes all expenses except result from loan and lease losses, reached 42.9%, an improvement of 30 basis points when compared to the previous quarter, due to the increase in operating revenues (1.6%), which was higher than the increase in non-interest expenses (1.0%). In the 12-month period, the efficiency ratio reached 44.6%, with an improvement of 110 basis points from the previous quarter and of 380 basis points from the same period of the previous year.

In the second quarter of 2015, the risk-adjusted efficiency ratio, in the concept including the result from loan and lease losses, reached 61.8%, an improvement of 90 basis points when compared to the previous quarter, due to the increase in revenues from recovery of loans written off as losses (6.9%), and to the other effects priorly mentioned. In the 12-month period, the risk-adjusted efficiency ratio reached 62.0%.

Loan Portfolio with Endorsements, Sureties and Private Securities

At the end of the second quarter of 2015, our total loan portfolio (including sureties, endorsements and private securities) reached R$566,556 million, decreasing 2.1% when compared to the first quarter of 2015 and increasing 9.3% from the same period of the previous year. Excluding the effect of the foreign exchange variation, our loan portfolio would have decreased 1.0% in the quarter and increased 2.6% in the 12-month period.
 
In the individuals segment, the highlight in the quarter was the growth of the low-risk loan portfolios: mortgage loans (5.2%) and payroll loans (2.0%). In the 12-month period, these portfolios increased 20.8% and 52.3%, respectively, whereas the vehicles portfolio decreased 9.7% in the quarter and 30.2% in the 12-month period.

The companies segment, excluding private securities, decreased 3.0% in the quarter and increased 6.0% in the 12-month period. Corporate loans decreased 3.2% from the previous quarter and increased 8.3% in the past 12 months, whereas the very small, small and middle market companies portfolio decreased 2.3% from the first quarter of 2015 and increased 0.7% in the 12-month period. Excluding the effect of the foreign exchange variation, the companies portfolio, including private securities, would have decreased 2.0% from the first quarter of 2015 and 1.5% in 12-month period.

The balance of our operations in Latin America decreased 5.2% in the quarter, but increased 33.9% in the 12-month period. Excluding the effect of the foreign exchange variation, the growth of this portfolio would have been 1.2% compared to the first quarter of 2015 and 10.1% in the 12-month period.

The balance of endorsements and sureties reached 74,243 million at the end of the second quarter of 2015, with a decrease of 1.4% when compared to the first quarter of 2015 and an increase of 2.1% in the past 12 months, mainly due to changes in the corporate portfolio, which decreased 1.2% from the previous quarter and increased 1.5% in the 12-month period.

Loan Portfolio – Currency Breakdown

 
On June 30, 2015, R$126.7 billion of our total credit assets were denominated in or indexed to foreign currencies and decreased 6.6% in the quarter, mainly due to the appreciation of the Brazilian real against the U.S. dollar and the currencies of other Latin American countries.
 
NPL Ratio (90 days overdue)


In the end of the second quarter of 2015, the NPL ratio for operations overdue for over 90 days (NPL 90) increased 30 basis points when compared to the previous quarter. Excluding the effect of the transfer of financial assets with no retention of risks with an affiliated company, related to loan operations of a specific economic group, that happened in June 2015, this ratio would have reached 3.5% in total and 2.6% in companies.
