Item 5.02.   Departure of Directors or Principal Officers; Election of Directors;

On August 24, 2009, Messrs. Francis Gaskins and Steven Holcomb were nominated to the Board of Directors, and affirmed by a vote of the current Directors.

On August 24, 2009,  the Board of Directors of AmeriChip International, Inc. resolved to accept the resignations of  Messrs. John Rehfeld and Drew Mouton as members of the Board of Directors.
