Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 3, 2019, Sportsman’s Warehouse Holdings, Inc. (the “Company”) entered into a Separation Agreement, General Release and Waiver (the “Separation Agreement”) with the Company’s former Chief Financial Officer, Kevan Talbot. Mr. Talbot’s Separation Agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference. The following description of the Separation Agreement is qualified in its entirety by reference to such exhibit. The Separation Agreement provides that the Company will pay Mr. Talbot, whose employment with the Company terminated as of June 3, 2019, a one-time separation payment of $75,000, and that the Company will pay or reimburse Mr. Talbot’s premiums to continue health insurance benefits under COBRA for 12 months. The Separation Agreement also includes confidentiality and cooperation covenants, and a release of claims, in favor of the Company.
