Item 5.03Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

  

Effective May 5, 2020, Cyclacel Pharmaceuticals, Inc.’s (the “Company”) Board of Directors approved the Second Amended and Restated Bylaws (the “Restated Bylaws”) of the Company to provide that annual meetings of the stockholders are permitted to be held via webcast.

 

A copy of the Restated Bylaws is attached hereto as Exhibit 3.01 and is incorporated herein by reference.
