    <remarks>Quasar and Bruce Cameron (hereinafter referred to as &quot;Cameron&quot;) are obligated under a $200,000 Promissory Note (the &quot;Note&quot;) in favour of Marlon Distributors Ltd. (hereinafter called &quot;Marlon&quot;).

Quasar has agreed to settle the Note in cash, on November 30, 2004 and Marlon has agreed to accept the payment of the Note in full satisfaction of all amounts owed by Quasar and Cameron to Marlon.

John Simmonds agreed to grant Quasar Paging Ltd. a put option.  Under the terms of the Put option, Quasar Paging has the right but not the obligation to require John Simmonds to acquire from Quasar up to 133,854 shares of Wireless Age Communications, Inc. common stock at a price of CAD $1.00 (approximately US $0.84) per share on or before January 31, 2005.</remarks>
