                   State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report portion thereof, could not be filed within the prescribed time period.

                    Because, as previously reported, the Company has only limited personnel available to it, the Company was not able to gather all of the information for filing in its Annual Report on Form 10-KSB for the fiscal year ended December 31, 2006 on a timely basis without unreasonable effort or expense. The Company's Form 10-KSB will be filed not later than April 17, 2007. No accountant's statement or other exhibit required by Rule 12b-25(c) is applicable.

        The statements of operations and cash flow for the 2005 fiscal year reflected (a) the results of operations of the two fixed based operators that the registrant acquired on March 31, 2005 only for the period from April 1, 2005 to December 31, 2005 and (b) the results of operations of Airborne, Inc. that the registrant acquired on September 23, 2005 only for the period from September 24, 2005 to December 31, 2005. The statements of operations and cash flow for the 2006 fiscal year will reflect such results of operations for the full 12-month period.
