Explanation of Responses:
1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $55.00 to $55.15, inclusive. The reporting person has provided ProAssurance Corporation, and undertakes to provide to any security holder of ProAssurance Corporation, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price.
2. RSU's are equal in value to one share of Common Stock, issued on 10/5/17 under the 2014 Equity Incentive Plan and acquired under terms of the ProAssurance Corporation 2011 Employee Stock Ownership Plan. The RSUs vest upon the sooner of three years of continuous employment, termination of employment by reason of death or disability, for "good reason," or a change of control of the Company. If a participant terminates employment more than twelve months but less than three years from the date of grant, the RSUs will partially vest based on the number of days that the participant was employed in the vesting period. Any RSUs that are unvested on termination of employment will be forfeited. In addition, if a participant withdraws shares purchased for his or her account, matching unvested RSUs will be forfeited. Upon vesting, we will pay the RSUs in shares of our Common Stock from those shares reserved for issuance under the 2014 Equity Incentive Plan with the value established at vesting.
3. RSU's are equal in value to one share of Common Stock, issued on 10/5/16 under the 2014 Equity Incentive Plan and acquired under terms of the ProAssurance Corporation 2011 Employee Stock Ownership Plan. Remarks:
The sales of ProAssurance Common stock reported on this Form 4 complete the planned sale of shares under the terms of a 10b5-1 trading plan disclosed in a Current Report on Form 8K on December 26, 2017. In that filing, Mr. Starnes, who is 69-years old and who signed an extension to his five-year employment agreement in 2017, stated that the sales are part of a long-planned diversification and estate-planning strategy. Mr. Starnes ownership of ProAssurance common stock still substantially exceeds the level of ownership required under the Company's stock ownership guidelines.
