On June 20, 2019, the Board of Directors (the Board) of Shutterfly, Inc. (the Company) approved an increase in the size of the Board from nine to 10 directors and elected Ryan OHara, the incoming President and Chief Executive Officer, to serve as a new Class I director effective on June 24, 2019 to fill the vacancy on the Board created by such increase. The Board did not appoint Mr. OHara to serve on any committees of the Board at the time of his election.
There was no arrangement or understanding pursuant to which Mr. OHara was selected as a director of the Company. There are no related party transactions of the kind described in Item 404(a) of Regulation S-K in which Mr. OHara was a participant or in which Mr. OHara has any direct or indirect material interest.
In addition, Mr. OHara will enter into the Companys standard form of Indemnity Agreement, which was filed with the Securities and Exchange Commission on June 29, 2006 as Exhibit 10.01 to the Companys Registration Statement on Form S-1 (File No. 333-135426).
