The report of the registrant on Form 10-KSB for the twelve months ended December 31, 2007 could not be filed within the prescribed time period because the company has significant transactions to report during the period ended December 31, 2007 and the financial statements reflecting these transactions were not completed in sufficient time to solicit and obtain the necessary review of the annual report on Form 10-KSB and signatures thereto in a timely fashion prior to the due date of the report.  The registrant anticipates that is will require an additional 30 days to complete and file said 10-KSB.
